Agreement to these terms
These Terms of Service ("Terms") are an agreement between you and WT Digital Consulting ("WTDC", "we", "us" or "our"). They apply when you visit wtdc.app or use our applications, dashboards, reports and integrations (together, the "Services").
By using the Services, you agree to these Terms. If you are using them on behalf of a company, you confirm you have authority to accept these Terms for that company. If you do not agree, please do not use the Services.
If you have a signed proposal, statement of work or other written agreement with us, that agreement controls where it conflicts with these Terms.
Our services
WTDC provides SEO and AI search visibility work, web development, data integration, reporting dashboards and related software. The scope, deliverables, timelines and fees for client work are set out in the proposal or agreement for that engagement.
We may change, improve or stop parts of the Services over time. If a change materially reduces something you are paying for, we will tell you in advance.
Accounts and connected services
Some Services ask you to sign in or connect accounts you own, such as Google Search Console, Google Analytics, Google Business Profile or YouTube. When you do:
- You confirm you own those accounts or are authorized to grant us access to them.
- You keep your login details secure and tell us promptly if you think someone has accessed your account without permission.
- You can disconnect at any time. Some features will stop working once access is removed.
- Our handling of data from those accounts is covered by our Privacy Policy, including our commitment to the Google API Services User Data Policy and its Limited Use requirements.
Where the Services use the YouTube API Services, you also agree to the YouTube Terms of Service.
Acceptable use
You agree not to:
- Use the Services for anything unlawful, misleading or harmful.
- Connect accounts or upload content you do not have the right to use.
- Try to access data, accounts or systems that are not yours, or test, probe or break our security.
- Copy, resell, reverse engineer or build a competing product from the Services, except where the law allows it.
- Overload or disrupt the Services, or use automated means to access them beyond normal use.
- Share your login or report links with people who should not have access.
We may suspend access if we reasonably believe these rules have been broken, and will tell you why unless the law prevents it.
Your responsibilities
Good results depend on timely access and information. You agree to give us the access, content, approvals and feedback we reasonably need, and to make sure anything you provide (text, images, logos, data) is yours to use or properly licensed.
You are responsible for decisions you make based on our reports and recommendations, and for changes made to your website or accounts by you or other parties.
Fees and payment
Fees, billing schedules and payment terms are set out in your proposal or invoice. Unless stated otherwise, invoices are due within 14 days. We may pause work on overdue accounts after giving notice. Fees do not include third-party costs such as hosting, domains, paid plugins, software licenses or advertising spend, unless your proposal says so.
Intellectual property
Your content
You keep all rights to your content, data and brand assets. You give us permission to use them only as needed to deliver the Services.
Deliverables
Once you have paid in full, you own the final deliverables we create specifically for you, such as website designs, content and custom code, unless your agreement says otherwise. We keep ownership of our own tools, templates, code libraries, methods and know-how, including anything we built before or outside your engagement, and you receive a license to use any of these that are included in your deliverables.
Our Services
The Services, including our software, dashboards, report designs and website content, are owned by WTDC or our licensors. Apart from the rights you are given in these Terms, nothing here transfers ownership to you.
Portfolio
We may describe the type of work we did for you in our portfolio without naming your brand. We will only name you or show identifiable work with your permission.
Confidentiality
Each of us will keep the other's non-public business information confidential and use it only for the engagement. This does not apply to information that is already public, was already known, is independently developed, or must be disclosed by law.
Third-party services
The Services connect to and rely on third-party platforms, including Google, hosting providers and other software. Those platforms have their own terms and policies, and we are not responsible for their availability, changes, data accuracy or how they rank, index or display your content. Search engines and AI systems decide their own results, so we cannot promise specific rankings, traffic, citations or revenue.
Disclaimers
We provide the Services with reasonable skill and care. Except as stated in these Terms or your written agreement, the Services are provided "as is" and "as available", and we do not make other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Reports and estimates are based on data available at the time and may not be complete or exact.
Limitation of liability
To the fullest extent allowed by law, WTDC will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to the Services.
Our total liability for any claim related to the Services is limited to the fees you paid us for the Services in the three (3) months before the event that gave rise to the claim, or USD 100 if you have not paid us anything.
Nothing in these Terms limits liability that cannot be limited by law.
Indemnity
You agree to cover WTDC against claims, losses and reasonable costs (including legal fees) arising from content or data you provide, accounts you connect without proper authority, or your breach of these Terms or of the law.
Ending the Services
You can stop using the Services and disconnect your accounts at any time. Notice periods for paid engagements are set out in your agreement.
We may suspend or end access if you seriously breach these Terms, do not pay, or if we are required to by law. When the Services end, we will remove our access to your connected accounts and delete your data as described in our Privacy Policy. Sections that by their nature should continue (such as fees owed, intellectual property, confidentiality, disclaimers, limitation of liability and indemnity) will continue after the Services end.
Governing law
These Terms are governed by the laws of the Republic of the Philippines. We will first try to resolve any dispute informally by talking with you. If that does not work, disputes will be handled by the courts of Metro Manila, Philippines, unless the law where you live gives you the right to bring a claim locally.
Changes to these terms
We may update these Terms from time to time. We will change the "Last updated" date at the top of this page, and tell active clients by email about significant changes. Continuing to use the Services after an update means you accept the new Terms.
General
If any part of these Terms is found unenforceable, the rest stays in effect. If we do not enforce a right straight away, we have not given it up. You may not transfer your rights under these Terms without our written consent. These Terms, our Privacy Policy and any written agreement between us are the full agreement on this subject.
